Terms and Conditions

  1. Project Engagement & Payment Structure

    • A token advance payment is required upon agreement to initiate the project. This confirms your commitment and secures your project timeline.
    • Upon delivery and approval of the Minimum Viable Product (MVP), the Client agrees to pay approximately one-third (1/3) of the total project cost.
    • The remaining amount is to be paid before the final delivery and project handover.
    • All payments are non-refundable unless otherwise stated in a written agreement.
  2. Third-Party Services & Expenses

    • Any costs related to third-party services (e.g., domain registration, hosting, email services, licensed APIs, external plugins or libraries) are the sole responsibility of the client.
    • We will consult and get approval from you before making any such purchases on your behalf.
    • These charges are billed separately and are not included in the development cost.
  3. Timeline & Delivery

    • A detailed project timeline and milestones will be discussed and documented before work begins.
    • Timely feedback and approvals from the client are critical. Delays in response may extend project timelines.
    • We will notify you of any expected delays from our side and propose revised schedules where necessary.
  4. Communication & Availability

    • We respect your time and preferences. All meetings, updates and communications will be scheduled as per your availability and convenience.
    • Regular updates will be provided via email, messaging apps, or project management tools as mutually agreed.
  5. Revisions & Change Requests

    • Minor revisions within the original scope of work are accommodated without extra charges.
    • Any major modifications, additions, or scope changes after design/development approval will incur additional charges and extended timelines.
    • All such requests must be documented and approved by both parties.
  6. Testing, Bug Fixes & Post-Delivery Support

    • All deliverables undergo basic functional and usability testing before being shared with the client.
    • After delivery, bug fixes for existing features are offered free of charge for up to one (1) month.
    • This does not include enhancements, feature upgrades, or design changes.
    • For extended support, we offer custom maintenance plans covering updates, monitoring and technical assistance.
  7. Maintenance & Ongoing Support (Optional)

    • Maintenance plans include performance monitoring, bug resolution, security patches, minor feature updates and content changes.
    • Maintenance services are billed monthly or quarterly, depending on the selected plan.
    • Without a maintenance agreement, any future support will be treated as a new paid request.
  8. Ownership, Rights & Handover

    • Upon full payment, the client receives ownership rights to the final deliverables, including code, designs and assets (excluding third-party licenses).
    • We will provide you with all necessary files, credentials and documentation at the time of handover.
    • Until full payment is made, Codence Studio retains ownership and holds the right to withhold deliverables.
  9. Confidentiality

    • All project-related information, designs, source code and data shared by the client will remain strictly confidential.
    • We do not share, resell, or reuse your assets without prior written permission.
  10. Termination & Cancellation

    • Either party may terminate the project with a written notice and valid reason.
    • In case of early termination:
      • The client is liable to pay for the work completed up to that point.
      • All partially completed work will be delivered in its current form.
      • No refunds will be issued for completed milestones.
  11. Disclaimer

    • Codence Studio is not responsible for any direct or indirect damages arising from the use or misuse of the product after delivery.
    • We are not liable for issues caused by external platforms, expired third-party services, or unauthorized code modifications made after handover.
